Terms of Service — Onchain Agent Intel

1. The service

Onchain Agent Intel is an intelligence and reputation service for the ERC-8004 on-chain agent economy. We publish aggregate research and datasets, operate a signed-in customer portal with subscription plans, and run a machine-payable API that lets software agents purchase intelligence endpoints per call via the x402 protocol or by a flat-rate subscription.

Specific endpoints, prices, and payment methods are published on our pricing page and in the agent.json manifest. These terms do not restate individual prices — the pricing page and manifest are the source of truth and may change (prior notice for subscribers is covered in section 4).

2. Who may use it

You must be at least 13 years old to use the public site, and 18 or the age of majority in your jurisdiction (whichever is higher) to buy a subscription or make a payment.
You may use the service on behalf of an organization, in which case "you" means that organization and you confirm you have authority to bind it.
Software agents acting under your control may use the API on your behalf; you remain responsible for everything they do.
You will comply with applicable law and sanctions. The service is not available to users in jurisdictions where the service would be illegal.

3. Account and sign-in

You sign in to app.onchainagentintel.io with Google, GitHub, an email magic link, or a Sign-In With Ethereum wallet signature. You are responsible for keeping access to those identity sources secure. If an identity you used to sign in is compromised, email [email protected] and we will help you regain access.

4. Payment and subscriptions

Two payment channels are supported:

Stripe — card and bank payment on the signed-in portal, for one-time purchases (such as the quarterly report) and recurring subscriptions (Pro, Dataset License). Billing is in US dollars unless the pricing page states otherwise. Stripe's terms and privacy policy apply to the payment itself.
x402 — on-chain USDC via EIP-3009 or native ETH with a calldata prefix, on Base and Ethereum. Each paid API call settles on-chain against our Safe at 0xaCd134d2AAd0b868EDb395F7d151864188caaF1a. Gas and chain fees are your responsibility.

Subscriptions renew automatically until you cancel them. You can cancel at any time from the Stripe billing portal reachable from your account page; cancellation takes effect at the end of the current billing period, during which access continues.

Price changes. We may change prices for new sign-ups or for the next billing period. For existing recurring subscribers, a price change applies no earlier than the start of your next billing period, and we will notify you at the account email at least 7 days in advance.

Refunds. Per-call x402 purchases are non-refundable once the call has run — the response was delivered. One-time reports (such as the quarterly report) are non-refundable once the download link has been delivered. For the Pro subscription on Stripe, if you cancel within 7 days of the first charge we will issue a pro-rated refund of that charge on request; after that first-charge window, Pro is non-refundable but you can cancel at any time and access continues to the end of the paid period. The Dataset License follows the same policy as Pro. To request a refund within the first-charge window, email [email protected].

Taxes. Prices do not include sales tax, VAT, or similar taxes. Where we are required to collect them we will add them at checkout; otherwise you are responsible for any taxes due in your jurisdiction.

5. Service availability

We work hard to keep the service running, but we do not promise an uptime percentage or a hard service-level agreement at this stage.

The service may be interrupted for maintenance, upstream outages (RPC providers, Cloudflare, Stripe), or security response. We will try to communicate planned maintenance in advance.

6. Acceptable use

You agree not to:

Interfere with the service, bypass access controls, scrape past rate limits, or evade payment on paid endpoints.
Reverse-engineer or redistribute paid intelligence beyond what the Dataset License explicitly allows.
Use the service to compile a profile of a real person for the purpose of harassing, defrauding, or doxxing them. The service reports on on-chain agents, which are smart contracts and public wallet addresses, not on human identities.
Represent our outputs as independent audits or regulatory certifications. Our evaluations and audits are automated or semi-automated reviews, not legally regulated opinions.
Violate the law of any jurisdiction that applies to you, or facilitate sanctions evasion, money laundering, or market abuse.

We may suspend or terminate access for violations of these rules.

7. Data, intellectual property, and licensing

Public datasets on onchainagentintel.io are licensed under CC BY 4.0 unless the dataset page states otherwise. Attribution: "Onchain Agent Intel — <dataset name>. CC BY 4.0."
Paid API responses are licensed to you (and your software agents under your control) for your internal use, product features, and derivative outputs. You may not resell our raw API output or redistribute it in bulk without a Dataset License.
Dataset License is a paid subscription that grants bulk use / redistribution rights to the full on-chain measurement store beyond what CC BY 4.0 attribution use permits. The license is tied to the subscriber; it ends when the subscription ends.
Your content. Anything you post to the service (support emails, inquiries) remains yours; you give us the right to use it to operate and improve the service.
Our marks. "Onchain Agent Intel" and the logo are our marks. You may use them to accurately refer to our service in prose, but not to imply endorsement, partnership, or affiliation.

8. On-chain reality

Payments made via x402 settle on public blockchains (Base, Ethereum). On-chain data — your payer address, amounts, transaction hashes — is public and permanent and is not under our control.
We cannot refund an on-chain transaction by rolling it back. A refund (if we offer one under section 4) means a return transfer to your address, not an unwind of the original.
Blockchain networks can experience congestion, reorganizations, bridge outages, and gas spikes. We are not responsible for third-party chain conditions.

9. Disclaimers and limits

The service is provided "as is" and "as available". We do not warrant that intelligence outputs — scores, trust signals, verdicts, audits, evaluations — are complete, accurate, or fit for a particular purpose. These outputs are research, not financial, legal, or security advice. Do not rely on them as the sole basis for a decision that would materially affect you.

To the maximum extent permitted by law, our aggregate liability to you for any claim arising out of or related to the service is capped at the greater of (a) the fees you paid us in the 12 months before the claim, or (b) US$100. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill.

10. Indemnification

You will defend and indemnify us against any third-party claim arising from your use of the service in breach of these terms, your violation of law, or your infringement of a third party's rights.

11. Termination

You can stop using the service at any time. You can close your account by emailing [email protected]. We can suspend or terminate your access for breach of these terms, with or without notice depending on the severity. On termination, licenses granted in section 7 end except for CC BY 4.0 content you obtained while they were in force.

12. Governing law and disputes

These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these terms or the service will be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the jurisdiction of those courts. Mandatory consumer-protection rights that apply to you in your place of residence (for example, in the EEA or the UK) are not waived by this clause.

13. Changes to these terms

We will update the effective date at the top when these terms change. Material changes will be announced on the public site and, for signed-in users, in the portal. Continued use after the effective date is acceptance of the new terms.
